1. Acceptance of Terms

By downloading, installing, accessing, or using Faso ("the App," "our Services," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and Faso. We reserve the right to update these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the updated Terms.

2. Relationship to Apple's Standard EULA

If you downloaded or purchased the App through the Apple App Store, your use of the App is also governed by Apple's standard Licensed Application End User License Agreement ("Apple EULA"), available at apple.com/legal/internet-services/itunes/dev/stdeula. These Terms serve as a supplement to the Apple EULA and address additional aspects of your use of our Services not covered by the Apple EULA, including account registration, subscriptions, user-generated content, and community features. In the event of any conflict between these Terms and the Apple EULA, the Apple EULA shall prevail to the extent of such conflict.

3. Description of Services

Faso is a digital audio workstation (DAW) application designed for music creation on mobile and desktop platforms. Our Services include, but are not limited to:

• Music creation, production, and arrangement tools
• Audio recording, editing, and mixing
• MIDI sequencing and chord composition
• AI-powered music assistance features
• Project management and asset library
• Community content sharing and discovery
• In-app purchases and subscription services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

4. Account Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in violation of these Terms.

5. Subscriptions and In-App Purchases

5.1 Paid Services

Faso offers certain premium features and content through in-app purchases and subscription plans. By purchasing a subscription or making an in-app purchase, you agree to pay the applicable fees as displayed at the time of purchase.

5.2 Billing and Renewal

• Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) through the Apple App Store or Google Play Store
• Your subscription will automatically renew at the end of each billing period unless you cancel it at least 24 hours before the end of the current period
• You can manage and cancel your subscription through your Apple App Store or Google Play Store account settings

5.3 Refunds

All purchases are processed through the Apple App Store or Google Play Store. Refund requests are subject to the respective store's refund policies. We do not directly process refunds. Please contact Apple or Google for refund inquiries.

5.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice of the price change. Your continued use of the paid Services after the price change constitutes your agreement to pay the updated amount.

6. User Responsibilities

As a user of our Services, you agree to:

• Use the Services only for lawful purposes and in accordance with these Terms
• Not use the Services to create, upload, or share content that infringes on any third-party intellectual property rights, including copyrighted music, samples, or recordings
• Not attempt to reverse engineer, decompile, or disassemble any part of the App
• Not use the Services to distribute malware, spam, or other harmful content
• Not interfere with or disrupt the integrity or performance of our Services
• Not attempt to gain unauthorized access to our systems or other users' accounts
• Comply with all applicable local, national, and international laws and regulations
• Respect the rights and dignity of other users in community features

7. Intellectual Property

7.1 Our Content

All content included in or made available through our Services, including but not limited to the App's design, graphics, logos, icons, audio samples, soundfonts, preset instruments, user interface elements, and underlying software code, is the property of Faso or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

7.2 User Content

You retain full ownership and copyright of the original music, compositions, recordings, and other creative works you create using our Services ("User Content"). By sharing User Content through our community features, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content within the Faso platform for the purpose of operating and improving our community features. This license terminates when you remove your content from our platform. We do not claim ownership of your User Content.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any defects in the Services will be corrected
• The Services will be compatible with all devices or operating systems
• AI-generated suggestions or features will be accurate, appropriate, or free from errors

You acknowledge that you use our Services at your own risk and discretion. Any content downloaded or otherwise obtained through the use of our Services is accessed at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FASO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, music projects, recordings, or other user content
• Loss of profits or revenue
• Loss of use or inability to access the Services
• Cost of procurement of substitute services
• Any damages arising from unauthorized access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Faso and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11. Age Requirement

You must be at least 13 years of age (or the applicable minimum age in your jurisdiction) to use our Services. If you are between 13 and the age of majority in your jurisdiction, you may only use our Services with the consent of a parent or legal guardian. By using our Services, you represent and warrant that you meet these age requirements. We do not knowingly collect personal information from children under 13.

12. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. We may also provide additional notice through in-app notifications or email. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Faso regarding your use of the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
